Terms & Conditions for Services & Payments

Effective Date: 01-08-2025

Welcome to Tob Technologies! These Terms & Conditions outline the agreement between Tob Technologies and the Client for all website, mobile application, and software development services. By engaging with our services, you agree to comply with the following terms:

1. Scope of Services

1.1 Project Agreement: Before starting any project, both parties will agree on the scope, features, timeline, pricing, and deliverables through a formal proposal or contract.

1.2 Development Process: TOB Technologies provides website, mobile app, software, and customized digital solutions tailored to business needs. The development process includes design, development, testing, deployment, and delivery.

1.3 Revisions & Modifications: Minor design or text adjustments are allowed during the design phase. Any changes or additions beyond the agreed scope—including new features, modules, or layout changes—will be charged additionally.

1.4 Third-Party Integrations: We may use third-party plugins, APIs, hosting, domains, or services as needed. TOB Technologies is not responsible for failures caused by third-party tools or services.

2. Deliverables

TOB Technologies will provide:

  • A fully functional website / mobile application / software as per the agreed project scope.
  • Admin panel/login credentials (if included).
  • Hosting, domain, or email setup (only if included in the package).
  • Deployment to the server.
  • Basic training and documentation for usage.

Source code is not included by default. It can be purchased separately under a Source Code Ownership License Agreement. Deliverables will be handed over only after full payment as per the agreed payment schedule.

3. Client Responsibilities

The Client must provide:

  • Business details, content, text, images, product information, and branding material.
  • Necessary approvals at each project stage.
  • Clear and timely communication to avoid delays.
  • Valid credentials for third-party tools (if required).

Failure to provide required materials may affect project timelines.

4. Payment Terms

4.1 Pricing & Invoicing: The total project cost will be detailed in the proposal. Payments will be invoiced as per the agreed milestones.

4.2 Payment Schedule:

  • 50% – Advance payment before project initiation.
  • 40% – After completion of the core development.
  • 10% – After deployment and final handover.

4.3 Payment Modes: Payments must be made via bank transfer or any approved digital method.

4.4 Non-Refundable Payments: All payments are non-refundable once a development phase has commenced.

4.5 Delays in Payment: Delay in payment may result in suspension of development or deployment.

5. Hosting, Domain & Email(If Applicable)

  • If included in the package, hosting and domain will be registered and managed by TOB Technologies.
  • Professional business email setup is included if the package covers it.
  • Renewal of hosting, domain, and email after the first year will be charged at actual renewal rates.
  • TOB Technologies is not responsible for issues caused by third-party hosting/domain providers.

6. Maintenance & Support

  • One month of complimentary maintenance is provided after deployment.
  • Free maintenance covers only minor bug fixes or performance issues.
  • New features, redesigns, or third-party issues require a separate maintenance contract or quotation.

7. Ownership & Intellectual Property

  • The application, source code, backend logic, frameworks, and scripts remain the intellectual property of TOB Technologies.
  • The client receives lifetime usage rights for the deployed version only.
  • Unauthorized modification, resale, or transfer of the application is prohibited.
  • Reverse engineering or replicating the system is strictly forbidden.

8. Testing & Quality Assurance

TOB ensures testing for:

  • Functionality
  • Responsiveness
  • Speed optimization
  • Browser compatibility

The client must perform final review and approval before deployment. Issues caused by unauthorized changes made by the client after deployment are not covered under free support.

9. SEO & Optimization

  • Basic SEO setup includes meta tags, site structure, sitemap submission, and performance optimization.
  • Ongoing SEO campaigns, keyword research, or ranking improvements are not included unless separately contracted.

10. Confidentiality

  • Both parties agree to maintain confidentiality regarding project information, credentials, and data.
  • TOB Technologies ensures that no client data will be shared or reused for other clients.

11. Liability

TOB Technologies (proprietor-based) will not be responsible for:

  • Data loss due to client-side errors, server crashes, or third-party issues.
  • Delays caused by client inactivity, approval delays, or unforeseen events.
  • Any indirect or consequential damages after project delivery.

12. Termination / Cancellation

12.1 Client-Initiated Termination: If the client wishes to stop the project midway, the advance amount will not be refunded. Work completed up to the date of cancellation will be billed accordingly.

12.2 Company-Initiated Termination: TOB Technologies reserve the right to terminate the contract in case of non-payment, lack of communication, or breach of terms.

13. Jurisdiction

Any dispute or issue will be resolved amicably through discussion or, if necessary, under the local jurisdiction of Tirunelveli, Tamil Nadu (India).

14. Acceptance

By proceeding with payment or confirming the quotation, the client acknowledges acceptance of the above terms and conditions.

15. Validity

All quotations remain valid for 30 days from the date of issue.
